Terms and Conditions of Sale (Revised: 16/07/2001)
Acceptance of Orders.
All contracts of sale made by "Software Paradise
Limited" ("the Company") shall be deemed to
incorporate these terms and conditions which shall prevail over
any other document or communication from the party with whom the
Company is dealing ("the Customer"). All orders are
accepted and fulfilled subject to these terms and conditions of
sale unless otherwise varied by agreement in writing by both
parties. All orders placed by the Customer shall be deemed to be
placed in full acceptance of these Terms and Conditions.
Cancellation.
As a consumer you have the legal right, in addition to your other rights,
to cancel your contract with Software Paradise and to receive a refund.
You must contact us and inform us in writing of your desire to cancel
your contract within 7 working days of receipt of the relevant product(s)
(This 7 day period begins the day after the day on which the product(s)
were received.) You must return the goods to us at your cost and we
advise you to ensure the goods are adequately insured during any return journey.
Delivery. Our priority is to get
your order to you as quickly as possible but we will not be liable to you
for late delivery as we are dependent on our suppliers and shippers.
If the goods are in stock and you place your order before 4pm you will
receive them next day. If we are unable to deliver your goods within
the specified time for whatever reason we will contact you to arrange
an alternative time for delivery. You may cancel your order if you wish.
If you have chosen to pay for overnight courier service we would ship your
order as soon as we receive it so with large orders you might receive a
part-shipment. If you do not wish to receive part-shipments then please

Payment Terms. Unless
otherwise expressly stated Credit Account invoices are due and
payable in sterling 30 days from the date of the invoice.
Statements of Account may not be issued. Interest will be
chargeable on overdue payments as well after as before judgement
on a day to day basis at an annual rate of 4 per cent above the
base rate of the National Westminster Bank from time to time
applicable, until the sum due is paid.
Property and Title. No
property and title to goods shall pass from the Company to the
Customer unless and until the Customer has made full and complete
payment to the Company of all sums due from the Customer in
respect of the goods.
Warranty. All goods sold by
the Company are warranted free from defects in materials and
workmanship. If goods are found to be defective in respect to
materials or workmanship only within 30 days of delivery the
Company will at its option replace the defective goods.
Liability. The Company shall
under no circumstances in respect of breach of contract or
non-performance of any order shall be limited to the value of the
goods to which the claim relates.
Applicable Law. Every
contract to which these terms and conditions shall apply shall be
construed in accordance with and governed in all aspects of the
Laws of England. An individuals statutory rights are
unaffected by any restrictions contained in the Companys
Guarantees, Warranties or Terms and Conditions.
